What Is a Company Complaint Letter Spain (Carta de Queja a Empresa)?

A Company Complaint Letter Spain (Carta de Queja a Empresa) is a formal written communication through which a consumer (consumidor) or user (usuario) notifies a business of a defect, non-conformity, unfair commercial practice, or breach of contract, demanding rectification, repair, replacement, price reduction, or refund under Spanish consumer protection law. The principal statute governing consumer complaints in Spain is the Real Decreto Legislativo 1/2007, de 16 de noviembre, por el que se aprueba el Texto Refundido de la Ley General para la Defensa de los Consumidores y Usuarios y otras leyes complementarias (TRLGDCU), which consolidated the Ley 26/1984 and implemented EU consumer directives into Spanish law, including Directiva 2019/771/UE on sale of goods and Directiva 2019/770/UE on digital content contracts.

Article 21 of the TRLGDCU establishes the consumer's right to receive a response to formal complaints within a maximum of 1 month. Article 8 TRLGDCU enumerates the basic rights of consumers in Spain: protection against risks affecting health and safety; protection of legitimate economic and social interests; repair of damages; correct information, education, and training; representation, consultation, and participation; and legal protection through the courts and dispute resolution mechanisms administered by the Agencia Española de Consumo, Seguridad Alimentaria y Nutrición (AECOSAN), now integrated into the Agencia Española de Seguridad Alimentaria y Nutrición (AESAN).

The conformity regime for sale of goods in Spain was substantially reformed by Real Decreto-Ley 7/2021, de 27 de abril, transposing Directiva 2019/771/UE. Articles 114 through 127 TRLGDCU now establish that goods must conform with the contract in terms of description, quantity, quality, functionality, compatibility, interoperability, and durability. Where goods lack conformity, consumers have the right (in order of priority): first, to repair or replacement at no cost; second, to a proportionate price reduction; and third, to contract termination and a full refund — under Article 118 TRLGDCU. The conformity period is 3 years for physical goods sold from 1 January 2022.

The Sistema Arbitral de Consumo (SAC), administered by the Junta Arbitral Nacional de Consumo under Real Decreto 231/2008, de 15 de febrero, provides a free, rapid, and binding alternative dispute resolution mechanism for consumer-business disputes. The SAC resolves disputes within 90 days of appointment of the arbitral tribunal without legal representation required.

Autonomous community consumer protection agencies — including the Agencia Catalana de Consum, the Dirección General de Consumo de la Comunidad de Madrid, and counterparts in the other 17 comunidades autónomas — administer regional complaint procedures, mediation services, and enforcement actions against businesses violating consumer law.

The legal framework governing the Company Complaint Letter Spain (Carta de Queja a Empresa) in Spain draws on several key statutes and regulatory bodies. Under Spanish law, the Código Civil governs marriage (Article 66), divorce (Article 81), custody (Article 92), and maintenance (Article 142). The Ley Orgánica 1/1996 (LOPJM) protects minors. The Registro Civil records births, marriages, and deaths. The Ley 15/2015 de Jurisdicción Voluntaria governs non-contentious proceedings. The Ley Orgánica 1/1982 protects fundamental rights including image and privacy. Parties executing a Company Complaint Letter Spain (Carta de Queja a Empresa) in Spain should confirm the document reflects current law, including any amendments enacted since the original drafting date. The Real Decreto Legislativo 1/2007, de 16 de noviembre (Texto Refundido de la Ley General para la Defensa de los Consumidores y Usuarios), Article 21 sets the foundational requirements.

When Do You Need a Company Complaint Letter Spain (Carta de Queja a Empresa)?

A Company Complaint Letter Spain is needed whenever a consumer or user in Spain wishes to formally assert their rights against a business that has sold defective goods, provided substandard services, applied unfair commercial practices, or breached its contractual or statutory obligations.

The letter is required when goods purchased do not conform with the contract under Articles 114 through 118 TRLGDCU — for example, a product that does not work as described, breaks within the 3-year conformity period, or does not match the sample shown at purchase. The consumer must notify the seller of the non-conformity within 2 months of discovering it (Article 123 TRLGDCU) — the complaint letter constitutes this notification and starts the remedy process.

A Company Complaint Letter is needed when a service provided by a professional does not conform with the agreed specifications or professional standards — the consumer is entitled to remedy, price reduction, or refund under Articles 147 and 148 TRLGDCU for services causing damage.

The letter is required when a business has applied a deceptive commercial practice under Articles 19 through 26 of Ley 3/1991, de 10 de enero, de Competencia Desleal (LCD), or aggressive commercial practice under Articles 28 through 31 LCD — the consumer is entitled to contract rescission and damages under Article 32 LCD and Article 68 TRLGDCU.

A Company Complaint Letter is needed when an airline has denied boarding, cancelled a flight, or caused a significant delay — under EU Regulation 261/2004, passengers have rights to compensation (€250 to €600), enforceable against Spanish carriers through the Agencia Estatal de Seguridad Aérea (AESA).

The letter is required when a telecommunications provider has charged amounts not agreed in the contract, failed to provide the contracted service quality, or refused to process a portability request — regulated by the Comisión Nacional de los Mercados y la Competencia (CNMC) under Ley 9/2014 de Telecomunicaciones.

Parties in Spain should prepare a Company Complaint Letter Spain (Carta de Queja a Empresa) proactively rather than waiting for a dispute to arise. Courts interpret agreements based on the written terms rather than oral representations. Under Spanish law, the Código Civil governs marriage (Article 66), divorce (Article 81), custody (Article 92), and maintenance (Article 142). The Ley Orgánica 1/1996 (LOPJM) protects minors. The Registro Civil records births, marriages, and deaths. The Ley 15/2015 de Jurisdicción Voluntaria governs non-contentious proceedings. The Ley Orgánica 1/1982 protects fundamental rights including image and privacy. Where the transaction involves regulated activities, prior approval from the relevant authority may be required before execution.

What to Include in Your Company Complaint Letter Spain (Carta de Queja a Empresa)

A complete and effective Company Complaint Letter Spain under the TRLGDCU and applicable consumer law must include the following essential elements.

Consumer Identification: Full name, DNI/NIE, address, telephone number, and email address of the consumer submitting the complaint. The consumer's contract or customer reference number should be included.

Company Identification: Full company name, CIF, registered address, and the company's Servicio de Atención al Cliente (SAC) address or the specific department handling complaints. Companies in Spain are legally required under Article 21 TRLGDCU to have a complaints handling procedure and to respond within 1 month.

Description of the Purchase or Service: The specific product purchased or service contracted, including the date of purchase, price paid, order or invoice reference number, and a description of the item or service.

Description of the Problem: A clear, factual, and chronological description of the defect, service failure, or breach — what the product or service was supposed to do, what actually happened, and the impact on the consumer.

Remedy Requested: A specific statement of what the consumer is requesting — repair (reparación), replacement (sustitución), price reduction (rebaja del precio), or refund (devolución del precio) under Articles 118 through 121 TRLGDCU.

Deadline for Response: A reasonable deadline for the company to respond — Article 21 TRLGDCU allows the company 1 month to respond to written complaints. The consumer should state that failure to respond within this period will result in submission to the Sistema Arbitral de Consumo (SAC) or the relevant autonomous community consumer agency.

Escalation Warning: A statement that if the complaint is not resolved satisfactorily, the consumer will submit the matter to the Sistema Arbitral de Consumo (Real Decreto 231/2008), the relevant autonomous community consumer protection agency, or the competent Juzgado de Primera Instancia.

Hoja de Reclamaciones Reference: In Spain, all commercial establishments must maintain hojas de reclamaciones (official complaint forms) — the consumer may request a hoja de reclamaciones in addition to submitting this formal letter.
