CONSUMER GUARANTEES ACT 1993 NOTICE

Where the Client acquires goods or services as a consumer as defined in the Consumer Guarantees Act 1993 (CGA), the following statutory guarantees apply and cannot be excluded by this Quotation or any resulting contract: that goods will be of acceptable quality (s 6); that goods will be fit for any particular purpose made known to the supplier (s 9); that services will be carried out with reasonable care and skill (s 28); and that services will be completed within a reasonable time (s 30). Where the Client acquires goods or services for the purposes of a business (and both parties are in trade), the parties may agree in writing to contract out of the CGA under section 43, provided it is fair and reasonable to do so.

GENERAL TERMS

Governing Law: This Quotation and any resulting contract are governed by the laws of New Zealand, including the Contract and Commercial Law Act 2017 (CCLA), the Consumer Guarantees Act 1993, and the Fair Trading Act 1986. Each party submits to the non-exclusive jurisdiction of the courts of New Zealand.

Variations: Any changes to the scope of work described in this Quotation must be agreed in writing before the Supplier is obliged to perform additional work. Additional work will be charged at rates agreed in writing at the time of the variation.

Intellectual Property: All intellectual property in any designs, plans, drawings, or documents prepared by the Supplier remains the property of the Supplier unless otherwise agreed in writing. Under the Copyright Act 1994 (NZ), copyright in work created by an independent contractor vests in the author unless assigned by written agreement.

What Is a Quotation Template (New Zealand)?

New Zealand businesses in every sector — from building and construction and trades to professional services, IT, manufacturing, and retail — use quotations as the starting point for commercial relationships. A well-drafted quotation sets out the precise scope of work, itemised pricing with GST at 15% clearly shown, exclusions, validity period, payment terms, and the method by which the client can accept the offer.

Under the Consumer Guarantees Act 1993 (CGA), statutory guarantees apply to goods and services supplied to consumers regardless of what the quotation says. Any clause in a quotation or resulting contract that purports to exclude consumer guarantees is void to that extent. A compliant New Zealand quotation will include a consumer law notice that informs clients of their rights under the CGA. Where both parties are in trade, the CGA may be contracted out of in writing under section 43, provided it is fair and reasonable to do so.

For GST-registered businesses, the Goods and Services Tax Act 1985 requires a valid tax invoice to be issued for taxable supplies.
