What Is a Mortgage Discharge Form (Kenya)?

A Mortgage Discharge Form in Kenya is a legally prescribed instrument through which a chargee (lender) formally releases a charge registered against land or a leasehold title upon full repayment or satisfaction of the secured debt, as governed by the Land Act No. 6 of 2012 and the Land Registration Act No. 3 of 2012. The discharge extinguishes the chargee's interest in the property and must be registered at the relevant Land Registry to take effect against third parties.

Section 95 of the Land Act No. 6 of 2012 expressly provides that upon full repayment of a charge, the chargee is obliged to execute a discharge in the prescribed form and deliver it to the chargor within thirty days of the final payment. Failure to execute and deliver the discharge within that period renders the chargee liable to a fine under the Land Act, and the chargor may apply to the Land Registrar for a forced discharge under Section 96 of the same Act. The Land Registration Act No. 3 of 2012 governs the procedure for registration of the discharge instrument at the county land registry.

In Kenya, land charges are registered against titles held under the Registered Land Act (Cap. 300) transitional provisions or under the Land Registration Act No. 3 of 2012, which replaced Cap. 300. The National Land Commission (NLC) and the Ministry of Lands and Physical Planning administer land registration through county land registries. A Mortgage Discharge must be presented at the land registry for the county in which the property is situated — Nairobi Land Registry for properties within Nairobi County, or the respective county registries for upcountry properties.

A Mortgage Discharge Form in Kenya differs from a Deed of Release of Charge used in some commercial transactions and from a Discharge of Debenture, which applies to floating charges over company assets. Stamp duty treatment of mortgage discharge instruments in Kenya is administered by the Kenya Revenue Authority (KRA) under the Stamp Duty Act (Cap. 480). Discharge instruments do not attract stamp duty at the same rate as the original charge; the prescribed fee payable on the discharge instrument is nominal. The Land Titles Act (Cap. 282) continues to apply to older title deeds in coastal regions of Kenya pending conversion to the Land Registration Act system. When Do You Need a Mortgage Discharge Form (Kenya)?

A Mortgage Discharge Form in Kenya is required whenever a registered charge over land has been fully repaid or otherwise satisfied and the chargor wishes to obtain a clean, unencumbered title that can be sold, transferred, or re-charged without the existing encumbrance appearing on the register.

When a bank or SACCO (Savings and Credit Cooperative) that holds a registered charge over residential or commercial property receives final loan repayment, the discharge form must be executed and delivered to the chargor under Section 95 of the Land Act No. 6 of 2012. Without the registered discharge, the title remains encumbered and the property cannot be sold or used as security for a new loan.

When a property owner in Kenya intends to sell land and the title carries a registered mortgage to a commercial bank such as Kenya Commercial Bank (KCB), Equity Bank, Co-operative Bank, or Absa Bank Kenya, the discharge must be registered before the sale conveyance can be completed. Conveyancing advocates cannot certify a clean title unless the Land Registry search confirms the charge has been vacated.

When an individual who mortgaged land through the Kenya Mortgage Refinance Company (KMRC) scheme or the National Housing Corporation (NHC) affordable housing programme completes all loan repayments, the discharge form must be submitted to the respective county land registry to remove the NHC or KMRC charge from the title.

When a company wound up or amalgamated under the Insolvency Act No. 18 of 2015 held a charge over land as security, the liquidator or successor entity must execute a discharge to release the encumbrance and return the unencumbered title to the chargor or their estate.

When a SACCO registered under the Sacco Societies Act No. 14 of 2008 and regulated by the SACCO Societies Regulatory Authority (SASRA) has financed a member's land purchase and the loan is fully repaid, the SACCO's registered charge must be formally discharged before the member can exercise full ownership rights over the property.
