Photography Contract (Australia)

This Photography Contract (the "Agreement") is entered into on [Sign Date] by and between [Client Name] of [Client Address] (the "Client") and [Photographer Name] (ABN: [Photographer ABN]) of [Photographer Address] (the "Photographer"). The Client and the Photographer are each referred to individually as a "Party" and collectively as the "Parties".

1. PHOTOGRAPHY SERVICES

1.1 The Photographer agrees to provide [Event Type] services for the Client on [Event Date] at [Event Location] for a duration of [Session Duration] (the "Session").

1.2 The Photographer warrants that the services will be performed with due care and skill and in accordance with the consumer guarantees under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).

1.3 The Photographer shall attend the Session adequately equipped and prepared. If the Photographer is unable to attend due to illness or emergency, the Photographer will make reasonable endeavours to arrange a suitably qualified substitute photographer and notify the Client as soon as practicable.

2. DELIVERABLES

2.1 The Photographer will provide the following deliverables: [Deliverables].

2.2 Deliverables will be made available to the Client within [Delivery Timeline] following the Session, subject to any delay caused by circumstances beyond the Photographer's reasonable control.

2.3 The Photographer retains full creative discretion over the selection and editing of images to be delivered. The number of images delivered will be consistent with the scope described in clause 1 but the Photographer is not obliged to deliver every image captured. Raw, unedited image files will not be provided unless separately agreed in writing.

3. FEES AND PAYMENT

3.1 The total fee for services under this Agreement is [Total Fee] (AUD). A non-refundable booking deposit of [Deposit Amount] is payable on execution of this Agreement to secure the booking date. The balance is due [Balance Due Date] by [Payment Method].

3.2 The booking deposit is non-refundable as it represents the Photographer's commitment to reserve the Session date exclusively for the Client and to turn down other bookings for that date.

3.3 If the Client fails to pay the balance by the due date, the Photographer may suspend or cancel services. The Photographer shall provide 5 business days' written notice before cancelling for non-payment.

3.4 If the Photographer is registered for GST under the A New Tax System (Goods and Services Tax) Act 1999 (Cth), valid tax invoices will be issued and the total fee is (or includes) GST at the applicable rate.

4. COPYRIGHT AND LICENCE

4.1 Under section 35 of the Copyright Act 1968 (Cth), the Photographer, as the author of the photographs taken during the Session, owns the copyright in all photographs and other works produced under this Agreement. Copyright does not pass to the Client on delivery of images.

4.2 Subject to full payment of all fees, the Photographer grants the Client a non-exclusive, non-transferable licence to use the delivered images for the following purposes: [Licence Type]. This licence does not permit the Client to sublicence, sell, or transfer the images to third parties.

4.3 The Client shall not alter, crop (in a way that changes the artistic intent), or apply filters to delivered images without the Photographer's prior written consent. Adding the Photographer's watermark or credit to social media posts is encouraged.

4.4 The Photographer retains the right to use all images produced under this Agreement in the Photographer's professional portfolio, website, and social media for promotional purposes: [Portfolio Use]. Where this right applies, the Photographer will use images tastefully and will not disclose personal details of the Client without consent.

5. PRIVACY AND MODEL RELEASE

5.1 The Client consents to the Photographer capturing images of the Client and any persons attending the Session, and to the Photographer using such images as permitted under clause 4.4 above.

5.2 If the Session involves children, the Client warrants that the Client is the parent or legal guardian of each child photographed and consents to the photography and use of those images in accordance with this Agreement.

5.3 The Photographer handles personal information collected in connection with this Agreement in accordance with the Privacy Act 1988 (Cth) and the applicable Australian Privacy Principles. Where images of identifiable individuals are involved, the Photographer will comply with Australian Privacy Principle 3 regarding the collection of sensitive and personal information.

6. CANCELLATION AND RESCHEDULING

6.1 If the Client cancels the Session, the booking deposit is non-refundable. If cancellation occurs within 30 days of the Session date, the Client shall also pay 50% of the remaining balance as a cancellation fee. If cancellation occurs within 7 days of the Session date, the full balance is due and payable.

6.2 The Client may reschedule the Session to an alternative date with no less than 30 days' written notice, subject to the Photographer's availability and payment of any reasonable rebooking fee if additional costs are incurred.

6.3 If the Photographer cancels the booking (other than due to a force majeure event), the Photographer will refund all fees paid, including the booking deposit. The Photographer's liability for cancellation shall be limited to the refund of fees paid and the Photographer shall not be liable for any consequential loss.

6.4 In the event of a force majeure event (including extreme weather, natural disaster, government-imposed restrictions, or other circumstances beyond the Photographer's reasonable control) that makes the Session impossible, the Photographer shall offer the Client an alternative date at no extra charge. If no alternative date can be agreed within 90 days, the deposit shall be refunded.

7. LIMITATION OF LIABILITY

7.1 Photography involves inherent uncertainties including equipment failure, unexpected lighting or weather conditions, and the unpredictability of live events. The Photographer will use professional standard equipment and take reasonable precautions, but cannot guarantee any specific outcome or image.

7.2 To the maximum extent permitted by the Australian Consumer Law, the Photographer's total liability for any claim arising under or in connection with this Agreement — including for loss of images due to equipment failure or data corruption — is limited to the total fees paid under this Agreement.

7.3 The Photographer is not liable for any indirect, consequential, special, or incidental losses, including but not limited to loss of profits, reputational loss, or the cost of reshooting. The Client is encouraged to retain backup copies of all delivered images.

7.4 Nothing in this Agreement limits or excludes any right or remedy the Client may have under the Australian Consumer Law that cannot lawfully be excluded or modified.

8. DISPUTE RESOLUTION

8.1 If a dispute arises in connection with this Agreement, the Parties shall first attempt to resolve it through good-faith negotiation within 14 days of written notice. If the dispute is not resolved, either Party may refer the matter to the relevant state or territory consumer protection authority (such as NSW Fair Trading, Consumer Affairs Victoria, or equivalent) for assistance.

8.2 Nothing in this clause prevents either Party from seeking urgent injunctive relief from a court of competent jurisdiction.

9. GOVERNING LAW

9.1 This Agreement is governed by the laws of [Governing State], Australia. Each Party submits to the non-exclusive jurisdiction of the courts of [Governing State] and the Federal Court of Australia.

9.2 Nothing in this Agreement is intended to exclude, restrict, or modify any right or remedy implied by the Australian Consumer Law that cannot lawfully be excluded or limited.

10. GENERAL

10.1 This Agreement constitutes the entire agreement between the Parties with respect to the photography services and supersedes all prior discussions, representations, and agreements relating to the same subject matter.

10.2 This Agreement may only be amended by a written instrument signed by both Parties.

10.3 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions continue in full force and effect.

10.4 The Photographer is an independent contractor and not an employee of the Client. Nothing in this Agreement creates an employment relationship between the Parties.
