This Cleaning Services Contract (the "Agreement") is entered into on [Sign Date] by and between [Client Name] (ABN: [Client ABN]) of [Client Address] (the "Client") and [Cleaner Name] (ABN: [Cleaner ABN]) of [Cleaner Address] (the "Cleaner"). The Client and the Cleaner are each referred to individually as a "Party" and collectively as the "Parties".

1. SERVICES

1.1 The Cleaner agrees to provide the following [Service Type] services at [Property Address] (the "Premises"):

1.2 Services will be provided [Service Frequency] in accordance with the schedule set out in clause 2 below.

1.3 The Cleaner shall provide all cleaning equipment, products, and materials necessary to perform the services unless otherwise agreed in writing. All cleaning products used shall be safe, fit for purpose, and compliant with applicable safety data sheet requirements under Australian Work Health and Safety legislation.

1.4 The Cleaner warrants that all services will be performed with due care and skill, and that any materials supplied in connection with the services will be of acceptable quality, consistent with the consumer guarantees applicable under Schedule 2 of the Competition and Consumer Act 2010 (Cth) (Australian Consumer Law).

2. SCHEDULE

2.1 Services will commence on [Start Date] and will continue until [End Date], unless terminated earlier in accordance with clause 7 of this Agreement.

2.2 Services will be performed on the following schedule: [Service Schedule].

2.3 The Client shall provide the Cleaner with lawful access to the Premises at the scheduled times. If access is denied and the Cleaner cannot perform the services through no fault of the Cleaner, the Client may be liable for the full service fee for that visit.

3. FEES AND PAYMENT

3.1 The Client agrees to pay the Cleaner [Service Rate] for each service visit. GST included in rate: [GST Included]. All invoices shall be issued [Invoice Frequency] and payment shall be made within [Payment Due Days] of the invoice date by [Payment Method].

3.2 If the Cleaner is registered for GST under the A New Tax System (Goods and Services Tax) Act 1999 (Cth), all invoices will be tax invoices and will separately identify the GST component.

3.3 If payment is not made by the due date, the Cleaner reserves the right to charge interest at the rate prescribed under the Penalty Interest Rates Act or applicable state legislation, and to suspend services until all outstanding amounts are paid.

3.4 The Cleaner may review and adjust the service rate annually by providing not less than 30 days' written notice to the Client.

4. CLIENT OBLIGATIONS

4.1 The Client shall: (a) ensure safe access to the Premises at the agreed service times; (b) secure all valuables, cash, and fragile items before each service; (c) ensure the Premises are safe for the Cleaner to work in, including disclosing any known hazards; (d) notify the Cleaner of any special instructions or areas to be avoided; and (e) ensure pets are secured during cleaning sessions.

5. INSURANCE AND LIABILITY

5.1 The Cleaner shall maintain public liability insurance with a minimum coverage of $10,000,000 (AUD) per occurrence throughout the term of this Agreement. If the Cleaner employs workers, the Cleaner shall also maintain valid workers' compensation insurance in accordance with the applicable state or territory legislation.

5.2 The Cleaner's liability for any loss or damage to the Client's property arising from the Cleaner's negligence shall be subject to any applicable statutory limitations. The Cleaner is not liable for pre-existing damage, ordinary wear and tear, or damage caused by faulty products supplied by the Client.

5.3 To the maximum extent permitted by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), the Cleaner's liability for failure to comply with a consumer guarantee is limited to: (a) resupplying the services; or (b) paying the cost of having the services supplied again.

6. PRIVACY AND CONFIDENTIALITY

6.1 The Cleaner acknowledges that access to the Premises provides access to the Client's private and confidential environment. The Cleaner and any employees or contractors engaged by the Cleaner shall maintain strict confidentiality with respect to the layout, contents, and activities observed at the Premises and shall not disclose any such information to third parties.

6.2 Any personal information collected by the Cleaner in connection with this Agreement will be handled in accordance with the Privacy Act 1988 (Cth) and the applicable Australian Privacy Principles.

7. TERMINATION

7.1 Either Party may terminate this Agreement by providing [Notice Period] written notice to the other Party.

7.2 Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement that is not remedied within 7 days of written notice requiring remedy.

7.3 Upon termination, the Client shall pay all outstanding fees for services performed up to and including the termination date.

8. DISPUTE RESOLUTION

8.1 If a dispute arises in connection with this Agreement, the Parties shall first attempt to resolve the dispute through good-faith negotiation. If the dispute is not resolved within 14 days, either Party may refer the matter to the relevant state or territory consumer protection authority (such as NSW Fair Trading, Consumer Affairs Victoria, or equivalent) or initiate mediation.

8.2 Nothing in this clause prevents a Party from seeking urgent injunctive relief from a court of competent jurisdiction.

9. GOVERNING LAW

9.1 This Agreement is governed by the laws of [Governing State], Australia. Each Party submits to the non-exclusive jurisdiction of the courts of [Governing State] and the Federal Court of Australia.

9.2 Nothing in this Agreement is intended to exclude, restrict, or modify any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law that cannot lawfully be excluded or limited.

10. GENERAL

10.1 This Agreement constitutes the entire agreement between the Parties with respect to the cleaning services and supersedes all prior discussions, representations, and agreements relating to the same subject matter.

10.2 This Agreement may only be amended by a written instrument signed by both Parties. A waiver of any right under this Agreement must be in writing and signed by the waiving Party.

10.3 If any provision of this Agreement is held invalid, unenforceable, or illegal, the remaining provisions continue in full force and effect.

10.4 The Cleaner is an independent contractor and not an employee of the Client. Nothing in this Agreement creates an employment relationship, partnership, or joint venture between the Parties.
