This Tutor / Private Tuition Contractor Agreement (the “Agreement”) is entered into on [Agreement Date] between:

[Client Name], [Client Type], of [Client Address], [Client City], [Client Postcode], England and Wales (hereinafter referred to as the “Client”); and

[Tutor Name], a self-employed tutor, of [Tutor Address], [Tutor City], [Tutor Postcode], England (email: [Tutor Email]) (hereinafter referred to as the “Tutor”).

BACKGROUND

The Client wishes to engage the Tutor to provide private tuition services on a self-employed independent contractor basis. The Parties intend that this Agreement shall not create an employment relationship between them. Nothing in this Agreement shall be construed as creating a relationship of employer and employee, principal and agent, or partnership between the Parties.

1. STATUS OF THE TUTOR

1.1 The Tutor is engaged as an independent contractor and is not an employee, worker, or agent of the Client. The Tutor shall not hold themselves out as having any authority to bind the Client in any contract or commitment.

1.2 The Tutor shall not be entitled to any employment benefits, including statutory sick pay, holiday pay (beyond any entitlement arising under the Working Time Regulations 1998 if applicable), pension contributions, or any other statutory rights conferred under the Employment Rights Act 1996.

1.3 The Tutor shall be solely responsible for accounting to HMRC for all income tax and National Insurance contributions due in respect of payments received under this Agreement, in accordance with the Income Tax (Trading and Other Income) Act 2005 and the Social Security Contributions and Benefits Act 1992.

1.4 The Tutor shall be free to offer tuition services to other clients provided that this does not result in a conflict of interest or a breach of the confidentiality obligations in clause 7 of this Agreement.

2. TUITION SERVICES

2.1 The Tutor shall provide private tuition in [Tuition Subject] at [Tuition Level] (the “Services”).

2.2 Sessions shall be delivered [Tuition Format], at a frequency of [Session Frequency], with each session lasting [Session Duration].

2.3 The Tutor shall plan, prepare, and deliver each tuition session in a professional manner, using appropriate teaching methods and resources suited to the pupil’s learning needs and academic objectives.

2.4 The Tutor shall provide feedback on the pupil’s progress to the Client upon reasonable request and shall notify the Client of any significant concerns regarding the pupil’s understanding or progress.

2.5 Tuition sessions shall commence on [Commencement Date].

3. FEES AND PAYMENT

3.1 The Client shall pay the Tutor at the rate of £[Hourly Rate] per hour of tuition. Fees are payable in pounds sterling (GBP).

3.2 The Tutor shall submit an invoice setting out the sessions delivered and the fees due. The Client shall pay each invoice within [Payment Terms Days] days of receipt.

3.3 If the Client fails to make payment by the due date, the Tutor shall be entitled to charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 at a rate of 8% per annum above the Bank of England base rate, accruing daily from the due date to the date of actual payment.

3.4 Where the Tutor is registered for VAT under the Value Added Tax Act 1994, VAT shall be chargeable in addition to the above fees at the prevailing rate.

4. CANCELLATION POLICY

4.1 If the Client wishes to cancel a booked session, the Client must give the Tutor at least [Cancellation Notice Hours] hours’ written notice prior to the scheduled start time.

4.2 If the Client cancels a session with less than [Cancellation Notice Hours] hours’ notice, the Client shall pay the Tutor the full fee for that session as a reasonable estimate of the Tutor’s losses caused by the late cancellation.

4.3 The Tutor shall endeavour to give the Client as much notice as possible if the Tutor needs to cancel or reschedule a session and shall offer alternative dates at the earliest opportunity.

5. CONFIDENTIALITY AND DATA PROTECTION

5.1 The Tutor shall keep confidential all information about the Client’s business, pupils, families, and pupils’ academic records obtained in connection with this Agreement, and shall not disclose such information to any third party without the prior written consent of the Client.

5.2 Each Party shall comply with the Data Protection Act 2018 (incorporating the UK General Data Protection Regulation) in respect of any personal data processed in connection with this Agreement. The Parties acknowledge that pupil personal data is particularly sensitive and must be handled with appropriate care.

5.3 The Tutor shall not retain copies of pupil data beyond what is strictly necessary for the delivery of the Services and shall securely delete or return all pupil data to the Client upon termination of this Agreement.

6. INTELLECTUAL PROPERTY

6.1 Any lesson plans, teaching materials, worksheets, and other educational content created by the Tutor specifically for the Client under this Agreement (“Work Product”) shall, upon payment of all fees due, vest in and be owned by the Client, and the Tutor hereby assigns all copyright and other intellectual property rights in the Work Product to the Client pursuant to the Copyright, Designs and Patents Act 1988.

6.2 Nothing in this Agreement shall prevent the Tutor from using their general teaching skills, knowledge, and experience, or from using or developing pre-existing materials that form the basis of the Work Product, provided the Tutor grants the Client a non-exclusive, royalty-free licence to use such pre-existing materials to the extent incorporated in the Work Product.

7. TERMINATION

7.1 Either Party may terminate this Agreement by giving [Notice Period] written notice to the other Party.

7.2 Either Party may terminate this Agreement with immediate effect by written notice if the other Party commits a material breach of this Agreement that is either incapable of remedy or is not remedied within 7 days of written notice requiring such remedy.

7.3 The Client may terminate this Agreement with immediate effect if the Tutor’s DBS certificate is revoked, suspended, or discloses new information that would make the Tutor unsuitable to work with the relevant pupil(s).

7.4 On termination, the Client shall pay all outstanding fees for Sessions delivered up to the date of termination, and the Tutor shall promptly return any materials, documents, or pupil data belonging to the Client.

8. GENERAL PROVISIONS

8.1 Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior representations, negotiations, and arrangements.

8.2 Amendments. No variation of this Agreement shall be effective unless in writing and signed by both Parties.

8.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8.4 Third Party Rights. A person who is not a party to this Agreement shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

8.5 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of England and Wales, and the Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
