What Is a Registered Office Change Notice (Singapore)?

A Registered Office Change Notice in Singapore is a formal corporate document by which a company notifies the Accounting and Corporate Regulatory Authority (ACRA) and its parties that the company's registered office address has changed. Every company incorporated under the Companies Act 1967 (Cap. 50) must maintain a registered office in Singapore at all times, and any change to the registered office address must be notified to ACRA within 14 days of the change taking effect, as required by section 142(1) and section 142(4) of the Companies Act.

Section 142 of the Companies Act is the governing provision for registered office requirements. Section 142(1) requires every company to have a registered office in Singapore to which all communications and notices may be addressed. The registered office must be open and accessible to the public during ordinary business hours — ACRA interprets this as at least three hours each business day between 9:00 a.m. and 5:00 p.m. — unless the Registrar of Companies approves alternative arrangements for the company. Section 142(4) requires that notice of any change of registered office be lodged with the Registrar within 14 days of the change date.

The change is lodged with ACRA electronically through the BizFile+ portal (Singapore's online business filing system, accessible at www.bizfile.gov.sg). The filing is made using the prescribed electronic form, and a filing fee of approximately S$50 applies (subject to revision — the current fee schedule is published on BizFile+). Upon successful lodgement, ACRA updates the company's registered office address in the public register, which is accessible to any person through the BizFile+ company search function.

The registered office address has significant legal consequences that extend across multiple areas of Singapore corporate and regulatory law. Under section 387 of the Companies Act, any document required to be served on a company may be served by leaving it at, or sending it by post to, the registered office. The registered office is therefore the address at which the company receives legal process (writs of summons issued by the Singapore courts, statutory demands under section 254 for winding up, winding-up petitions), government notices (from IRAS, ACRA, MAS, and other regulatory bodies), and correspondence from shareholders and creditors.

The Inland Revenue Authority of Singapore (IRAS) uses the registered office address for corporate income tax correspondence under the Income Tax Act (Cap. 134), GST notices under the GST Act (Cap. 117A), and stamp duty assessments under the Stamp Duties Act (Cap. 312). The Monetary Authority of Singapore (MAS) uses the registered office for regulatory correspondence for entities holding MAS licences. The Central Provident Fund Board uses the registered address for employer CPF correspondence. A company that fails to update its registered office may miss critical communications — including tax assessments, regulatory notices, and legal process — with potentially serious consequences including default judgments, late filing penalties, and regulatory enforcement action.

The Stamp Duties Act (Cap. 312) does not impose stamp duty on the change of registered office itself, but if the change involves entering into a new lease or licence agreement for the office premises, that lease or licence is subject to stamp duty under sections 33-35 of the Act. The Business Names Registration Act 2014 requires display of the business name at places of business, which may include the new registered office.

When Do You Need a Registered Office Change Notice (Singapore)?

A Registered Office Change Notice is needed whenever a Singapore-incorporated company changes the physical address of its registered office, regardless of the reason for the change.

Companies relocating their business premises — whether within the same building, to a different building within Singapore, or from one district to another — must file a change of registered office with ACRA within 14 days. The filing deadline under section 142(4) of the Companies Act runs from the date the company begins operating from the new address, not from the date the board resolves to make the change.

Companies switching corporate secretarial service providers frequently need to change their registered office simultaneously. Many Singapore companies — particularly small private companies, shell companies, and foreign subsidiaries — use their corporate secretary's office address as their registered office. Section 171 of the Companies Act requires every company to have a qualified company secretary, and when the company changes its secretary, the registered office address often changes concurrently to the new secretary's premises.

Companies that have been using a virtual office or serviced office address may need to change the address when the virtual office agreement expires, when the company transitions to dedicated premises, or when the virtual office provider ceases operations. The registered office must remain a physical, accessible location in Singapore — a P.O. Box is not acceptable under section 142.

Foreign companies registered under Part XI of the Companies Act (Division 2 — Registration of Foreign Companies) must similarly maintain a registered office in Singapore under section 370 and notify ACRA of any change. The registered office of a foreign company is the address at which legal process and regulatory notices are served in Singapore.

Companies restructuring or consolidating operations — merging multiple offices into one location, closing a branch, or downsizing from a full office to a serviced office — must update ACRA if the restructuring affects the registered office. JTC Corporation requires companies occupying JTC industrial premises to use the JTC address as their registered office.

Companies that have received notice from ACRA of possible striking off under section 344 of the Companies Act should verify that their registered office address is current. ACRA sends striking-off notices to the registered address, and failure to receive these notices due to an outdated address is a common reason companies are struck off the register without their knowledge.

What to Include in Your Registered Office Change Notice (Singapore)

A properly prepared Singapore Registered Office Change Notice should contain the following elements to satisfy ACRA filing requirements and parties notification obligations.

Company Details: The company's full legal name (as registered with ACRA), UEN (Unique Entity Number), date of incorporation, and the names of the current directors and company secretary. The company secretary is responsible under the Companies Act for confirming compliance with ACRA filing requirements, and their details should be included.

Current Registered Office: The existing registered office address as recorded in ACRA's register. This should be verified by searching the company's profile on BizFile+ before preparing the notice, to confirm the address on record matches the company's records.

New Registered Office: The full address of the new registered office, including the unit number, floor level, building name, street name, and postal code. The new address must be a physical location in Singapore — a P.O. Box, mailbox service, or overseas address is not acceptable under section 142 of the Companies Act.

Date of Change: The effective date of the change — the date from which the company will be operating from the new registered office and receiving correspondence there. The ACRA filing must be lodged within 14 days of this effective date to avoid late filing penalties.

Board Resolution: A directors' resolution authorising the change of registered office. Under the company's constitution (or the model constitution prescribed under the Companies (Model Constitutions) Regulations 2015), the power to determine the location of the registered office typically resides with the board of directors. The resolution should record: the decision to change the registered office, the new address, the effective date, and the authorisation for the company secretary to file the change with ACRA. The resolution should be recorded in the minutes of the board meeting and retained at the registered office as part of the company's statutory records under section 188.

ACRA Filing: The notice is filed electronically through the BizFile+ portal using the prescribed electronic form. The company secretary or an authorised filer (such as a corporate secretarial service provider or filing agent) lodges the form and pays the filing fee. ACRA processes the filing (typically within one business day for electronic submissions) and updates the public register.

Post-Change Verification: After the BizFile+ filing is processed by ACRA (typically within one business day for electronic filings), the company secretary should verify the updated registered office address on the ACRA public register by conducting a BizFile+ company profile search. The verification confirms that the change has been properly recorded and that the public register reflects the correct address. The company should also update its corporate stationery, website, and contractual documents to reflect the new registered office address.
