COPYRIGHT ASSIGNMENT AGREEMENT

This Copyright Assignment Agreement (this "Agreement") is entered into on [Assignment Date] between [Assignor Name], of [Assignor Address] (the "Assignor"), and [Assignee Name] (CAC RC: [Assignee RC]), of [Assignee Address] (the "Assignee").

1. Assignment of Copyright

1.1 In consideration of [Consideration] paid by the Assignee to the Assignor (receipt of which is hereby acknowledged), the Assignor hereby assigns to the Assignee, with full title guarantee, [Assignment Scope], all copyright and related rights (including the right to reproduce, publish, communicate to the public, create derivative works, and otherwise exploit the works by any means and in any medium, whether now known or hereafter devised) in the following works (the "Works"): [Works Description]. The Works constitute [Work Type]. 1.2 This assignment is effective from the date of this Agreement. The Assignee shall from this date be the sole and exclusive owner of the copyright in the Works.

2. Moral Rights

2.1 [Moral Rights Waiver]. This waiver applies to all present and future acts in relation to the Works, including publication, adaptation, translation, and communication to the public.

3. Licence Back

3.1 Licence back to assignor: [Licence Back]. Where a licence back is granted, the Assignee hereby grants to the Assignor a non-exclusive, royalty-free, non-transferable licence to use the Works for the Assignor's own internal or portfolio purposes only, subject to reasonable conditions notified by the Assignee.

4. Warranties

4.1 The Assignor warrants to the Assignee that: (a) the Works are original; (b) the Assignor is the sole owner of copyright in the Works; (c) the Works do not infringe any third-party copyright, moral rights, or other intellectual property rights; (d) the copyright in the Works has not been previously assigned, licensed exclusively, or otherwise encumbered in any way that would prevent or restrict this assignment; and (e) the Assignor has full authority to execute this Agreement. 4.2 The Assignor shall indemnify the Assignee against all claims, losses, costs, and damages arising from any breach of the warranties in Clause 4.1.

5. Governing Law

5.1 This Agreement is governed by the laws of the Federal Republic of Nigeria, including the Copyright Act 2022. Disputes shall be submitted to the exclusive jurisdiction of the Federal High Court of Nigeria.

What Is a Copyright Assignment — Nigeria?

A Copyright Assignment in Nigeria transfers the assignor's rights or interests to the assignee on the terms it specifies.

Copyright in Nigeria is governed by the Copyright Act 2022, which replaced and repealed the Copyright Act Cap C28 LFN 2004. The Nigerian Copyright Commission (NCC), established under Section 39 of the Copyright Act 2022, administers copyright law in Nigeria, maintains a copyright register, and enforces copyright against infringement.
