2. CONFIDENTIALITY

2.1 The Franchisee acknowledges that the Operations Manual contains confidential proprietary information and trade secrets that are the exclusive property of the Franchisor, protected under the Franchise Agreement, Nigerian common law principles of breach of confidence, and the Trademarks Act Cap T13 LFN 2004.

2.2 The Franchisee undertakes not to copy, photograph, scan, distribute, or disclose any part of the Operations Manual to any person outside the franchise business without the Franchisor's prior written consent, and to ensure that all employees and managers who access the manual are bound by equivalent confidentiality obligations.

2.3 The Franchisee acknowledges that unauthorised disclosure of the Operations Manual would cause serious and irreparable harm to the Franchisor, entitling the Franchisor to seek injunctive relief without proof of actual damage.

3. COMPLIANCE AND UPDATES

3.1 The Franchisee undertakes to operate the franchise strictly in accordance with the Operations Manual as updated from time to time by the Franchisor, and acknowledges that compliance with the Operations Manual is a material obligation under the Franchise Agreement.

4. RETURN ON TERMINATION

4.1 Upon expiry or termination of the Franchise Agreement for any reason, the Franchisee shall promptly: (a) return all physical copies of the Operations Manual to the Franchisor; (b) permanently delete all digital copies from any device, server, or cloud service; (c) revoke all employee access to the Franchisor's online portal; and (d) provide written confirmation to the Franchisor that no copies have been retained.

4.2 Retention of the Operations Manual after termination does not confer any right to continue operating the franchise system or using the Franchisor's intellectual property.
