ADVERTISING AGREEMENT

This Advertising Agreement ("Agreement") is entered into on [Effective Date] between [Advertiser Name] (RC [Advertiser RC Number]), of [Advertiser Address] ("the Advertiser") and [Agency Name] (ARCON Reg. [Agency ARCON Number]), of [Agency Address] ("the Agency").

1. ADVERTISING SERVICES

1.1 The Agency is appointed to plan, create, produce, place, and manage the advertising campaign described as: [Campaign Name] ("the Campaign").

1.2 Campaign period: [Campaign Start Date] to [Campaign End Date].

2. REGULATORY COMPLIANCE

2.1 All advertising materials produced under this Agreement must comply with the ARCON Act 2022, the ARCON Code of Advertising Practice, and (where broadcast is involved) the Nigerian Broadcasting Commission (NBC) Broadcast Code.

2.2 ARCON vetting and approval: [ARCON Approval Responsibility]. No advertisement shall be published or broadcast before receiving ARCON approval.

2.3 The Agency warrants that it is duly registered with ARCON (Registration Number: [Agency ARCON Number]) and that all creative personnel assigned to the Campaign are enrolled ARCON practitioners.

2.4 Both parties shall comply with the Federal Competition and Consumer Protection Act 2018, ensuring all advertising claims are truthful, not misleading, and do not denigrate competitors.

3. FEES AND PAYMENT

3.1 Remuneration model: [Remuneration Model].

3.4 Withholding Tax at 5% shall be deducted by the Advertiser from each payment to the Agency and remitted to the Federal Inland Revenue Service (FIRS) in accordance with the Income Tax (Withholding Tax) Regulations. The Advertiser shall issue a WHT credit note to the Agency.

4. INTELLECTUAL PROPERTY

4.1 Copyright in creative advertising materials: [IP Ownership].

4.2 The Advertiser's trademarks, logos, and brand materials remain the exclusive property of the Advertiser. The Agency is granted a limited licence to use the Advertiser's trademarks solely for the purpose of producing and placing the Campaign materials.

4.3 The Agency warrants that the Campaign materials do not infringe the intellectual property rights of any third party and shall indemnify the Advertiser against any third-party IP claims arising from materials created by the Agency.

5. TERMINATION

5.1 Either party may terminate this Agreement by giving [Termination Notice Days] days' written notice to the other party.

5.2 Either party may terminate immediately for material breach that remains uncured for 14 days after written notice, for insolvency, or for revocation of ARCON registration.

5.3 On termination, the Advertiser shall pay all fees and costs accrued to the date of termination, including committed media expenditure that cannot be cancelled.

6. GOVERNING LAW AND DISPUTE RESOLUTION

6.1 This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes shall be referred to arbitration under the Arbitration and Mediation Act 2023 at the Lagos Court of Arbitration, with the seat in Lagos, Nigeria.
