THIS CONTRACT EXTENSION NOTICE (the "Notice") is made on [Notice Date]

BETWEEN:

(1) [Party 1 Name] (BRS No: [Party 1 BRS Number]), of [Party 1 Address] ("Party 1"); and

Party 1 and Party 2 are each referred to as a "Party" and together as the "Parties".

BACKGROUND

C. The Parties wish to extend the term of the Original Contract on the terms set out in this Notice.

1. EXTENSION OF TERM

1.1 The Parties agree to extend the term of the Original Contract by [Extension Duration], such that the Original Contract shall now expire on [New Expiry Date] instead of [Original Expiry Date], unless earlier terminated in accordance with the Original Contract's termination provisions.

1.2 Except as expressly amended by this Notice, all terms and conditions of the Original Contract remain in full force and effect during the extended term.

1.3 This Notice and the Original Contract shall be read and construed together as a single agreement under the Law of Contract Act (Cap. 23).

2. AMENDED TERMS

2.1 The following amendments apply with effect from [Original Expiry Date] (the first day of the extension period):

What Is a Contract Extension Notice (Kenya)?

A Contract Extension Notice in Kenya is a written instrument by which the parties to an existing contract formally agree to extend the contract's duration beyond its original expiry date, with or without amendments to other terms, governed by the Law of Contract Act (Cap. 23) — the principal statute regulating the formation, performance, and enforcement of contracts in Kenya. The notice records the parties' mutual assent to continue their contractual relationship and supersedes the original expiry provision, creating a binding variation of the existing agreement.

Under the Law of Contract Act (Cap. 23), any variation of an existing contract — including extending its duration — must satisfy the basic requirements of contract formation: offer, acceptance, consideration, and intention to create legal relations. A unilateral declaration by one party that a contract is extended does not create a binding extension unless the other party accepts the proposed extension, either expressly in writing or by conduct (for example, by continuing to perform obligations after the original expiry date). Kenyan courts, including the Commercial Division of the High Court of Kenya, have consistently held that parties who continue performing under a contract after its nominal expiry date are bound by the original terms on a periodic basis, but this creates uncertainty about the duration and terms of the extended period.

A Contract Extension Notice eliminates this uncertainty by documenting the agreed extension date, any revised pricing or remuneration, any amended scope of services, and any other conditions precedent to the extension. The document is distinct from a new contract — it incorporates the terms of the original contract by reference and amends only the provisions expressly stated. The Interpretation and General Provisions Act (Cap. 2) provides that where a document is incorporated by reference, it forms part of the incorporating instrument as if set out in full.

In the employment context, a Contract Extension Notice is used to extend a fixed-term employment contract under the Employment Act No. 11 of 2007. Section 9 of the Employment Act requires every employment relationship to be documented in writing. The Employment and Labour Relations Court (ELRC), established under Article 162(2)(a) of the Constitution of Kenya 2010, has held that an employer who repeatedly extends fixed-term contracts without a Contract Extension Notice may inadvertently create a permanent employment relationship, with all the attendant rights — minimum notice under Section 35, procedural fairness before termination under Sections 41 to 45, and severance pay on redundancy under Section 40.

In the commercial services context, a Contract Extension Notice extends service agreements, consultancy retainer agreements, technology maintenance contracts, cleaning contracts, security contracts, and supply agreements. A Service Agreement governed by the Law of Contract Act (Cap. 23) may be extended by mutual agreement at any time before the original expiry date. Where the original contract contains an extension or renewal clause (for example, automatic renewal on 30 days' notice), the Contract Extension Notice serves as the prescribed notice to activate that clause.

The Limitation of Actions Act (Cap. 22) prescribes a 6-year limitation period for actions based on simple contracts and a 12-year limitation period for contracts made under deed (specialty contracts). A Contract Extension Notice that extends the contract's duration does not reset the limitation period from the original commencement date — rather, the limitation clock runs from the date a cause of action first accrues under the extended contract. Parties to long-running contracts should be aware of this distinction when structuring extensions.

When Do You Need a Contract Extension Notice (Kenya)?

A Kenya Contract Extension Notice is required whenever parties to an existing contract wish to continue their contractual relationship beyond the original expiry date without entering into an entirely new contract.

A Contract Extension Notice is required when a fixed-term employment contract under the Employment Act No. 11 of 2007 approaches its expiry date and the employer wishes to retain the employee for an additional defined period. The Employment and Labour Relations Court (ELRC) requires written documentation of any extension to avoid disputes about whether an employee has acquired permanent status through repeated implied renewals.

A Contract Extension Notice is needed when a service provider delivering consultancy, IT support, marketing, or professional services under a fixed-term Service Agreement governed by the Law of Contract Act (Cap. 23) continues to perform services beyond the contract's expiry. Without a signed extension notice, the scope, pricing, and duration of the continued engagement lack written contractual certainty.

A Contract Extension Notice is required when a commercial lease agreement — whether for office space in Nairobi's Westlands or Upper Hill, retail space in a county market, or industrial premises in Mombasa's port area — reaches its expiry and the parties wish to continue the tenancy without executing a fresh lease. The Land Act No. 6 of 2012 and the Land Registration Act No. 3 of 2012 govern leasehold interests in Kenya, and the Landlord and Tenant (Shops, Hotels and Catering Establishments) Act (Cap. 301) regulates controlled tenancies where applicable.

A Contract Extension Notice is needed when a Non-Disclosure Agreement (NDA) covering an M&A transaction, a technology development project, or a joint venture negotiation under the Law of Contract Act (Cap. 23) expires before the confidential discussions are concluded, and both parties need the confidentiality obligations to remain in force.

A Contract Extension Notice is required when a government contractor engaged by a county government or a national government ministry under a procurement contract governed by the Public Procurement and Asset Disposal Act No. 33 of 2015 has not completed the contracted scope of work by the original completion date, and a formal extension of time and possibly revised contract sum is required.

A Contract Extension Notice is needed when an agency or distribution agreement under the Law of Contract Act (Cap. 23) approaches its renewal date and the principal and agent wish to continue on the same terms without the formality of executing a new full-length agreement.

What to Include in Your Contract Extension Notice (Kenya)

A Kenya Contract Extension Notice under the Law of Contract Act (Cap. 23) must include the following essential provisions to create a binding and enforceable extension.

Parties and Original Contract Reference: Full legal names and addresses of both parties, the title of the original contract, the date the original contract was executed, and any reference number assigned to the original contract. The original contract is incorporated by reference into the Extension Notice. For company parties, the BRS Registration Number and KRA PIN should be stated to confirm the correct legal entity.

Extension Period: The precise new end date of the contract — for example, 'The Contract is hereby extended from [Original Expiry Date] to [New Expiry Date]' — or the duration of the extension expressed as a number of months or years. Ambiguous drafting such as 'the contract is extended for a reasonable period' is not enforceable under the Law of Contract Act (Cap. 23), which requires certainty of terms. If the extension is one of several possible extensions under an options clause in the original contract, the notice should state which option is being exercised.

Amended Terms: Any changes to the original contract terms that apply during the extension period — for example, a revised service fee in KES, an updated scope of services, revised performance milestones, or amended notice provisions. The Extension Notice should state expressly that all other terms of the original contract remain unchanged and continue in full force during the extension period. Any amendment to the contract value may attract stamp duty under the Stamp Duty Act (Cap. 480) if the original contract was stamped.

Consideration: The consideration for the extension — typically the continuation of payment obligations at the original or revised rate. For extensions where no new consideration passes (for example, where the extension merely formalises a factual situation where both parties have already been performing), a nominal consideration of KES 100 or acknowledgment of mutual benefit may be expressed. The Law of Contract Act (Cap. 23) requires consideration for a valid contract variation, except where the variation is made under deed.

Conditions Precedent: Any conditions that must be satisfied before the extension takes effect — for example, payment of outstanding invoices, delivery of a renewed performance bond under the Public Procurement and Asset Disposal Act No. 33 of 2015, or submission of a revised work plan. The Extension Notice should state what happens if a condition is not satisfied by the specified date.

Governing Law and Dispute Resolution: Confirmation that the extension is governed by the laws of Kenya. For commercial contracts, disputes may be referred to the High Court of Kenya (Commercial Division) or to arbitration at the Nairobi Centre for International Arbitration (NCIA) under the Arbitration Act No. 4 of 1995 (revised 2022). For employment contracts, the Employment and Labour Relations Court (ELRC) retains exclusive jurisdiction under Article 162(2)(a) of the Constitution of Kenya 2010.

Signatures and Date: Signatures of authorised representatives of both parties, with their names, titles, and the date of signing.
