MILK SUPPLY AGREEMENT

This Milk Supply Agreement (this “Agreement”) is entered into on [Agreement Date] between:

(1) [Farmer Name], of [Farmer Address], DAFM Herd Number: [Farmer Herd Number], Supplier Number: [Supplier Number] (the “Farmer” / “Supplier”); and

(2) [Buyer Name] (CRO / Registration No: [Buyer CRO]), of [Buyer Address] (the “Buyer”).

RECITALS

A. The Farmer is a registered dairy farmer holding herd number [Farmer Herd Number] with DAFM and wishes to supply raw cows’ milk to the Buyer.

B. The Buyer is a licensed dairy processor / co-operative and wishes to purchase raw milk from the Farmer on the terms set out in this Agreement.

C. This Agreement is entered into in compliance with the European Union (Unfair Trading Practices in the Agricultural and Food Supply Chain) Regulations 2021 (S.I. No. 198 of 2021) and EU Regulation (EU) 2019/633.

1. MILK SUPPLY

1.1 The Farmer agrees to supply, and the Buyer agrees to purchase, all raw cows’ milk produced at the farm (the “Milk”) during the term of this Agreement, commencing on [Supply Season Start].

1.2 The estimated annual volume is [Estimated Annual Volume]. This is an estimate only and does not constitute a guaranteed minimum supply.

1.3 The Buyer shall collect the Milk [Collection Frequency] from the Farmer’s farm.

1.4 The Farmer shall store the Milk in an approved bulk milk tank at the temperature and conditions required by EU Regulation (EC) No. 853/2004 and DAFM dairy hygiene regulations.

2. MILK QUALITY

2.1 The Milk supplied shall comply with the following quality standards: [Milk Quality Standards].

2.2 The Buyer shall carry out routine quality testing on each collection in accordance with applicable EU and DAFM standards. The Farmer shall have the right to request a split sample analysis from any collection.

2.3 Milk failing the agreed quality thresholds may attract price penalties as notified by the Buyer from time to time.

2.4 Milk found to contain inhibitory substances (antibiotics) or to be adulterated shall be rejected by the Buyer and the cost of disposal, collection, and any third-party claims shall be borne by the Farmer.

3. PRICE AND PAYMENT

3.1 The Buyer shall pay the Farmer for Milk supplied at the following base price: [Base Price].

3.2 Pricing mechanism: [Pricing Mechanism]. The Buyer shall notify the Farmer of any change to the milk price at least 30 days in advance of the effective date of the change, as required by S.I. No. 198 of 2021.

3.3 Quality supplements and bonuses: [Quality Supplements].

3.4 Payment shall be made: [Payment Period]. Payment shall be accompanied by a detailed milk statement showing total volume, fat and protein content, quality results, supplements, and deductions.

3.5 All prices are exclusive of VAT, which shall be applied at the applicable rate under the Value-Added Tax Consolidation Act 2010.

4. FARMER’S OBLIGATIONS

4.1 The Farmer shall:

  • maintain all DAFM registrations, licences, and herd health certifications required for dairy farming;
  • comply with EU Regulation (EC) No. 853/2004 and all DAFM food safety and dairy hygiene requirements;
  • maintain the bulk milk tank and farm dairy in good repair and in compliance with applicable standards;
  • promptly notify the Buyer of any suspected milk contamination, disease outbreak, or other event that may affect milk quality; and
  • not supply Milk to any third-party buyer during the term of this Agreement without the Buyer’s prior written consent.

5. TERM AND TERMINATION

5.1 This Agreement shall be for a term of [Contract Term], commencing on [Supply Season Start], and shall automatically renew unless terminated.

5.2 Either party may terminate or decline to renew this Agreement by giving [Notice Period] written notice to the other party before the end of the then-current term.

5.3 The Buyer may not make any unilateral changes to the material terms of this Agreement (including the pricing mechanism or collection frequency) except in accordance with the transparent change mechanism described in Clause 3.2, as required by S.I. No. 198 of 2021.

5.4 Either party may terminate immediately for material breach unremedied after 30 days’ written notice, or for insolvency.

6. GENERAL

6.1 This Agreement is governed by and construed in accordance with the law of Ireland. The parties submit to the non-exclusive jurisdiction of the Irish courts.

6.2 Any disputes arising from this Agreement shall first be referred to the parties’ respective representatives for resolution. If unresolved within 30 days, either party may refer the dispute to the DAFM-appointed independent adjudicator in accordance with S.I. No. 198 of 2021.

6.3 This Agreement constitutes the entire agreement between the parties regarding the supply of milk and supersedes all prior agreements.

What Is a Milk Supply Agreement (Ireland)?

A Milk Supply Agreement in Ireland sets the services to be provided, the fees, the timetable, and each side's responsibilities for the engagement, and takes its legal force from the Value-Added Tax Consolidation Act 2010.

The legal framework for milk supply agreements in Ireland is governed by EU Directive 2019/633 on unfair trading practices in business-to-business relationships in the agricultural and food supply chains, transposed into Irish law by the European Union (Unfair Trading Practices in the Agricultural and Food Supply Chain) Regulations 2021 (S.I. No. 198 of 2021). These regulations impose mandatory written contract requirements, pricing transparency obligations, payment timeline requirements (payment within 30 days), prohibitions on certain exclusive supply and variable volume arrangements, and a minimum 21-day cooling off period for termination without penalty in new contracts issued from 9 July 2024. The enforcement body is the Agricultural Supply Chain Adjudicator's Office (ASCA), established under the European Union (Unfair Trading Practices in the Agricultural and Food Supply Chain) Act 2023.

Irish dairy co-operatives — including Glanbia Co-operative Society, Kerry Co-operative Creameries, Dairygold Co-operative Society, Aurivo Co-operative Society, and Lakeland Dairies Co-operative Society — operate under the Industrial and Provident Societies Acts or the Co-operative Societies Act and have constitutional obligations to their farmer-members. Many Irish dairy farmers are shareholder-members of their co-operative as well as milk suppliers, and the relationship between share ownership, milk supply obligations, and governance rights is governed by both the co-operative's constitution and the milk supply agreement.

When Do You Need a Milk Supply Agreement (Ireland)?

No. 198 of 2021), milk buyers whose annual turnover exceeds €2 million must offer a written contract to their farmer suppliers before milk supply commences for all new contracts from 9 July 2024. The switch process involves serving notice under the existing agreement, complying with any applicable lock-in or notice period, and executing a new milk supply agreement with the new buyer.

You need a Milk Supply Agreement when establishing a farm partnership or farm succession arrangement that involves the transfer or continuation of dairy milk supply obligations. Where a farm partnership is registered with DAFM under S.I. No. 247 of 2015, the milk supply arrangements must be documented clearly to identify whether the partnership or the individual farmer is the milk supplier of record for BPS/BISS eligibility and co-operative membership purposes.

The agreement is also needed when negotiating enhanced terms — including milk quality bonuses, organic milk premiums, winter milk premiums, or sustainability scheme premiums — that go beyond the co-operative's standard terms. A written agreement records these negotiated terms and provides the farmer with contractual protection against unilateral changes by the milk buyer. What to Include in Your Milk Supply Agreement (Ireland)
