1. PREMISES

2. TERM

4. OBLIGATIONS

4.1 The Tenant shall: (a) use the Premises only for the permitted use; (b) keep the Premises in good repair; (c) comply with all laws, regulations, and Government Lease conditions; (d) not assign or sublet without the Landlord’s prior written consent; (e) reinstate the Premises to the Landlord’s satisfaction at lease end.

4.2 The Landlord shall: (a) provide quiet enjoyment; (b) maintain the structure and common areas; (c) comply with building safety requirements.

5. FORFEITURE

5.1 The Landlord may forfeit this lease under Cap. 7 if: (a) rent is unpaid for 15 days; (b) the Tenant breaches any covenant; (c) the Premises are used for illegal purposes.

6. GOVERNING LAW

6.1 This Agreement is governed by the laws of Hong Kong SAR, including Cap. 7. Disputes shall be referred to the Lands Tribunal.

What Is a Rent-Free Period Agreement (Hong Kong)?

A Rent-Free Period Agreement in Hong Kong fixes the respective duties and entitlements of the parties to the arrangement.

Rent-free periods in Hong Kong commercial leasing most commonly arise in two contexts. First, a fit-out rent-free period allows the incoming tenant time — typically two to eight weeks for office premises and up to three months for large retail units — to carry out fitting-out works under their Licence to Renovate before the business opens for trading. During this period, the tenant is in possession and liable for outgoings such as management fees and rates, but pays no base rent. Second, a lease incentive rent-free period is granted as a financial concession — particularly at the commencement of a new lease or lease renewal — to reduce the effective rent over the lease term and make the headline rent more commercially attractive.

The Stamp Duty Ordinance (Cap. 117) requires commercial leases in Hong Kong to be stamped within 30 days of execution. The Inland Revenue Department assesses stamp duty on the average annual rent, calculated over the full lease term. Where a rent-free period is granted, the total rent payable over the lease term is divided by the number of years to determine the average annual rent for stamp duty purposes — the rent-free period reduces the total rent and therefore reduces the stamp duty liability. A Rent-Free Period Agreement in Hong Kong is needed whenever a landlord and commercial tenant agree that rent will not be payable for a defined period, whether as a fit-out allowance or a lease incentive. Without a written agreement, the terms of the rent-free period — its duration, what costs the tenant remains liable for, and what happens if the lease terminates during the rent-free period — may be disputed.

For incoming commercial tenants, the Rent-Free Period Agreement is needed before keys are handed over, so that the precise start and end dates of the rent-free period are documented. Many commercial leases in Hong Kong contain rent commencement dates that differ from the lease commencement date, and the agreement should clearly state both dates.
