| Registration of a private limited company BRS Companies Registry fee schedule (documents CR1, CR2, CR8, statement of nominal capital; 3-5 days). A BRS FAQ (May 2024) states an eCitizen payment of KES 10,750 for the same service; confirm the amount on brsv2.ecitizen.go.ke at payment. The statutory fee in the Companies (General) Regulations is KES 10,000; capital duty and stamp duty on the Memorandum and Articles are separate rows. Name reservation fee not found in an official schedule, left out. | KES 10,650 per application | Companies Act, 2015 (No. 17 of 2015) (formation and registration of companies) | brs.go.ke Checked 30 October 2026 |
| Statutory fee for registration of a company having a share capital (Companies Act ss.17-18) Statutory fee in the Ninth Schedule, Part 1, to the Companies (General) Regulations (Kenya Law consolidated version dated 31 Dec 2022, marked 'latest version' on 2026-10-31). The BRS fee schedule shows KES 10,650 for a private limited company (existing row). The schedule does not explain the KES 650 difference, so treat 10,000 as the statutory component and 10,650 as what BRS lists. The Regulations list no name-reservation fee. | KES 10,000 per application | Companies Act, 2015 ss.17-18; Companies (General) Regulations, 2015 (L.N. 239 of 2015) r.68 and Ninth Schedule Part 1, as amended by L.N. 27/2016, 61/2016, 19/2017 and 2/2018 | kenyalaw.org Checked 31 October 2026 |
| Capital duty on nominal share capital of an unlisted company: increase of capital (initial capital exempt) Schedule item 8: 'For every Sh. 2,000, and also for any fractional part of Sh. 2,000, of the amount of new capital or increase of capital ... Sh. 20', payable by the company. Section 39 charges the statement of nominal capital delivered on registration and the statement of any later increase. Legal Notice No. 60 of 2016 (Kenya Gazette Vol. CXVIII No. 38, 15 April 2016; commenced 12 April 2016) exempts 'the initial nominal share capital of a company registered or to be registered with limited liability' from the ad valorem duty under section 39, so no capital duty is paid on incorporation and the 1% applies to an increase of capital. The notice names no enabling section; its wording follows the exemption power in s.106 (Gazette notice on the recommendation of the Cabinet Secretary for land). Kenya Law files it under the Income Tax Act and shows its 31 Dec 2022 revision as the latest version (https://kenyalaw.org/akn/ke/act/ln/2016/60/eng@2022-12-31). Companies listed on a stock exchange approved under the Capital Markets Act are excluded. Rounding is up to the next KES 2,000. Act read from the Kenya Law consolidation dated 1 July 2026. | 1% of the increase (KES 20 per KES 2,000 or part) | Stamp Duty Act (Cap. 480) s.39 and Schedule item 8 (Capital Duty); initial capital exempt under Legal Notice No. 60 of 2016 | kenyalaw.org Checked 31 October 2026 |

How the table was checked
Each row was compiled from the official source linked next to it (legislation, regulations or the registry’s own fee schedule) and then checked a second time, row by row, against the same source. Government fees only: agent, lawyer and notary fees are not included. Fees change, so open the official source before you file.
- Left out (no official confirmation found): UAE and the Philippines. UAE mainland fees vary by emirate and free zone, and no federal or emirate fee page states one standard figure. The Philippine SEC website (registration calculator and fee circulars) sat behind a bot-check page on the check date, secondary sources disagree on the current filing-fee minimum, and SEC issued fee circulars in 2025-2026, so the SEC filing and legal research fees were removed rather than taken from search snippets. Also left out: the Kenya name-reservation fee (not in the BRS schedule or the Ninth Schedule), Nigeria stamp duty on share capital (the Stamp Duties Act was reportedly repealed from 1 January 2026 by the Nigeria Tax Act 2025, and no official text of a replacement rate could be reached), and the Ghana name-reservation fee (none published).
- India: stamp duty depends on the state, so its `value` is empty. The MCA site blocks scripted downloads, so the SPICe+ FAQ PDF was opened in a browser and its text read directly on the check date. The FAQ is dated 22 Jan 2023 and no later revision was found; the PAN (INR 66) and TAN (INR 65) amounts come from that FAQ and were not re-confirmed against a 2026 Protean/UTIITSL fee schedule.
- Kenya: the BRS fee schedule shows KES 10,650 and a May 2024 BRS FAQ gives an eCitizen payment of KES 10,750, against a statutory fee of KES 10,000 in the Ninth Schedule to the Companies (General) Regulations; neither BRS page explains the difference. Confirm the amount at payment. Capital duty of 1% (KES 20 per KES 2,000 or part) applies to an increase of nominal capital: Legal Notice No. 60 of 2016 exempts the initial nominal share capital of a company registered with limited liability, so none is paid on incorporation (corrected on 31 October 2026; the row first read "on registration or on an increase"). The Memorandum and the Articles pay KES 2,000 stamp duty each.
- Nigeria: private companies, small or not, pay NGN 10,000 per NGN 1,000,000 of share capital (or part thereof); public companies pay NGN 20,000. The gazette is dated 31 October 2024 and was published on 29 May 2025, with no separate commencement date.
- Ghana: the 2026 ORC schedule states no effective date (the PDF was created on 30 January 2026). It lists the Prestige/VIP service as an additional GHS 1,300 for registering a company limited by shares. The ORC service page gives GHS 1,885 "in addition to the processing fees", which equals 585 + 1,300. The dataset follows the schedule.
- New Zealand: the Companies Office schedule still says "effective from 1 July 2022". It was the published current schedule on the check date.
- Indexing: ASIC (Australia) fees are indexed every 1 July, and the SECP (Pakistan) Seventh Schedule provides for a 10% annual increase. Hong Kong business registration amounts depend on the certificate start date.
- Fees change. Check the source before filing. Reference data, not legal advice.
