This Bill of Sale for Personal Watercraft / Jet Ski (the “Agreement”) is made and entered into on [Sale Date] by and between:

The Seller wishes to sell the PWC (as defined below) to the Buyer, and the Buyer wishes to purchase the PWC from the Seller, on the terms and conditions set out in this Agreement.

IN CONSIDERATION of the payment of the Purchase Price by the Buyer to the Seller, and for other good and valuable consideration (the receipt and adequacy of which are hereby acknowledged), the parties agree as follows:

1. DESCRIPTION OF PERSONAL WATERCRAFT

1.1 The Seller agrees to sell and transfer to the Buyer, and the Buyer agrees to purchase from the Seller, the following personal watercraft (the “PWC”):

1.2 The PWC is sold in the following condition: [Pwc Condition].

2. PURCHASE PRICE AND GST

2.1 The total purchase price for the PWC (including trailer, if any) is AUD $[Purchase Price] (the “Purchase Price”), which is [Gst Treatment].

2.2 Where the supply of the PWC is a taxable supply under the A New Tax System (Goods and Services Tax) Act 1999 (Cth) (GST Act) and the price is stated exclusive of GST, the Buyer must pay to the Seller an additional 10% GST upon receipt of a valid tax invoice.

2.3 The Buyer shall pay the Purchase Price [Payment Method].

2.4 Time is of the essence with respect to all payments under this Agreement.

3. TRANSFER OF TITLE AND RISK

3.1 Subject to clause 7 (Retention of Title) if applicable, title to and ownership of the PWC (and trailer, if included) shall pass from the Seller to the Buyer upon receipt of the full Purchase Price.

3.2 Risk of loss, damage, or destruction to the PWC passes to the Buyer at the same time as title passes under clause 6.1. The Buyer is responsible for arranging appropriate marine insurance from that time.

3.3 Following transfer of title, the Seller shall cooperate with the Buyer to complete the transfer of the PWC’s registration to the Buyer’s name with the relevant maritime authority in [Governing State]. Each party shall be responsible for its own costs in connection with the registration transfer.

4. SELLER’S WARRANTIES

4.1 The Seller warrants that:

  • the Seller has full legal right and authority to sell the PWC;
  • the PWC is free from any registered PPSR security interest (other than as disclosed in writing to the Buyer before execution of this Agreement);
  • the HIN and registration number stated above are the correct identifiers for the PWC;
  • the PWC has not been reported as stolen; and
  • the Seller is not aware of any material defect in the PWC other than those disclosed in this Agreement.

4.2 Registration Transfer. The Seller shall provide to the Buyer all documents reasonably required to transfer the PWC’s registration to the Buyer’s name with the relevant maritime authority in [Governing State].

4.3 Marine Licence Acknowledgement. The Buyer acknowledges that operating a personal watercraft in [Governing State] requires a valid recreational marine licence or equivalent authorisation under applicable maritime safety legislation in [Governing State]. The Buyer represents that it holds the necessary licence or authorisation.

4.4 Nothing in this Agreement limits any consumer guarantee applicable to the Buyer under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.

5. PPSR ACKNOWLEDGEMENT

5.1 The Buyer acknowledges that it has had the opportunity to search the Personal Property Securities Register (PPSR) at ppsr.gov.au using the PWC’s HIN ([PWC HIN]) to confirm the PWC is free from any registered security interests.

5.2 The Seller confirms that, to the best of its knowledge, no security interest is registered against the PWC on the PPSR other than as disclosed to the Buyer.

6. GENERAL PROVISIONS

6.1 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the sale of the PWC and supersedes all prior negotiations, representations, and agreements.

6.2 Amendments. This Agreement may only be varied by a written instrument signed by both parties.

6.3 Severability. If any provision of this Agreement is void or unenforceable, it shall be severed and the remaining provisions shall continue in full force.

6.4 Governing Law. This Agreement is governed by the laws of [Governing State], Australia, and applicable Commonwealth legislation including the PPSA, the GST Act, and the Australian Consumer Law. The parties submit to the non-exclusive jurisdiction of the courts of [Governing State].
