What Is a Contract Renewal Letter (UAE)?

A Contract Renewal Letter in the UAE is a formal written document issued by an employer to an employee whose fixed-term employment contract is approaching its expiry date, offering the renewal of the contract for a further specified period on the same or revised terms. The Contract Renewal Letter in the United Arab Emirates is one of the most commonly issued HR documents in the country, because all UAE private-sector employment contracts must be fixed-term (limited-term) contracts under Federal Decree-Law No. 33 of 2021 (the UAE Labour Law), with a maximum initial term of three years under Article 8.

Prior to the reform introduced by Federal Decree-Law No. 33 of 2021 (which replaced the previous Federal Law No. 8 of 1980), UAE private-sector employment could be structured on either unlimited-term or fixed-term contracts. The 2021 reform mandated that all contracts convert to fixed-term contracts by 1 February 2023. As a result, every UAE private-sector employee now has a fixed-term contract that will expire at a defined future date, making the contract renewal process a mandatory and recurring feature of UAE employment management.

Article 8 of Federal Decree-Law No. 33 of 2021 provides that a fixed-term employment contract may be renewed by mutual agreement of the employer and employee, for one or more times, for the same or a different term. Renewed contracts may be for periods of up to three years each, as is the initial contract. The contract renewal letter documents this mutual agreement and triggers the corresponding MOHRE contract update, work permit renewal, and UAE residence visa renewal.

The contract renewal letter is distinct from a promotion letter or salary increment letter in that it renews the overall employment relationship for a new term, rather than varying a specific term within an ongoing contract. However, a contract renewal is commonly accompanied by a salary revision, a job title change (promotion), or the addition of new benefits — and where this is the case, the contract renewal letter documents all of the agreed changes to take effect at the start of the new term.

The contract renewal also triggers important immigration obligations. UAE work permits and residence visas have the same duration as the employment contract (typically two years for work permits under MOHRE's standard processing). Where the contract is renewed, the work permit and residence visa must also be renewed before their respective expiry dates. A lapse in immigration status exposes the employer to fines under Federal Decree-Law No. 28 of 2021 on UAE Entry and Residence of Foreigners, and exposes the employee to an overstay violation. The forms-legal.com UAE Contract Renewal Letter template includes a commitment by the employer to process the immigration renewals, addressing this obligation in the document.

For DIFC and ADGM employees, contract renewals follow the same substantive process, with references to DIFC Employment Law No. 2 of 2019 or ADGM Employment Regulations 2019 as the governing framework.

When Do You Need a Contract Renewal Letter (UAE)?

A UAE Contract Renewal Letter is needed every time a fixed-term employment contract approaches its expiry date and both parties wish to continue the employment relationship. The principal scenarios in the United Arab Emirates are described below.

Standard two-year contract expiry is the most common scenario. MOHRE typically processes work permits for two-year terms, aligned with the standard two-year employment contract. As the two-year mark approaches, the employer must decide whether to renew the contract and must issue the renewal letter with sufficient lead time for the employee to consider the offer and for the immigration renewals to be processed.

Three-year contract expiry applies to senior executives, specialist professionals, and employees in the UAE's banking and financial services sector (regulated by the Central Bank of the UAE, DIFC, and ADGM) who are commonly offered three-year terms aligned with long-term project cycles or business plans. The contract renewal letter in this context typically includes a thorough review of the compensation package.

Non-renewal at the end of the contract term is also a trigger for the contract renewal process — but in the direction of non-renewal rather than renewal. Where the employer does not wish to renew the contract, they should notify the employee before the expiry date with the notice required under the contract or under Article 43 of Federal Decree-Law No. 33 of 2021. Importantly, under Article 47 of the Labour Law, if the employer does not renew the contract and the employee did not resign, the employee may be entitled to compensation if they have served for at least one year.

Renewal with promotion is common in UAE organisations where the contract renewal is combined with a new role or title. In this case, the contract renewal letter documents both the renewal of the contract and the new terms, avoiding the need for separate renewal and promotion letters.

Emiratisation-related renewals require particular attention. Under MOHRE's Emiratisation quota regulations, employers who fail to renew Emirati employees' contracts without cause may face quota penalties. The contract renewal letter for an Emirati employee should be issued promptly and the MOHRE Nafis records updated to reflect the renewal.

Post-maternity leave contract renewal is a sensitive scenario. Under Article 30 of Federal Decree-Law No. 33 of 2021, a female employee on maternity leave is protected from termination. Where the contract expiry falls during maternity leave, the employer must extend the contract until the employee returns from leave before the renewal decision can be made.

What to Include in Your Contract Renewal Letter (UAE)

A UAE Contract Renewal Letter that creates a valid MOHRE contract extension, triggers the appropriate immigration renewals, and provides the employee with a clear statement of the renewed terms must contain the following elements. The forms-legal.com UAE Contract Renewal Letter template covers all of them.

Letterhead and employer identification must display the full legal name and address of the employing entity as registered with MOHRE. The signatory must be authorised to bind the employer.

Employee identification must state the employee's full name, job title, department, and staff ID, consistent with the MOHRE employment file. This allows the renewal letter to be matched to the correct MOHRE record.

Current contract expiry date in DD/MM/YYYY format provides context for the renewal. The renewal offer should be issued well before this date — typically 60 to 90 days in advance — to allow the employee time to consider the offer and for the immigration processes to be initiated.

Renewed contract period must state the renewal start date, renewal end date, and the duration of the renewed term (one, two, or three years). The renewal start date is typically the day after the current contract expiry.

Salary and benefit terms on renewal must confirm whether the salary is unchanged or revised. Where revised, the new basic monthly salary in AED must be stated separately from allowances. Any other changes to the terms — new job title, new department, amended benefits — must be explicitly stated.

Continuity of service confirmation is essential. The letter should state that service runs continuously from the original joining date, that the gratuity under Article 51 of Federal Decree-Law No. 33 of 2021 accrues on total years of service, and that the WPS rate will be updated from the renewal start date under Ministerial Decree No. 788 of 2009.

Immigration renewal commitment states the employer's obligation to process the work permit and residence visa renewals through MOHRE and ICP before the current permits expire. Acceptance deadline with a specific date ensures the employee confirms acceptance with sufficient time for the MOHRE and immigration filings.

How to Fill Out Your Contract Renewal Letter (UAE)

Completing a UAE Contract Renewal Letter requires accurate information about the current contract and the proposed new terms, and sufficient lead time before the current contract expiry.

Begin with Employer Details. Enter the company's full legal name and the HR representative's name and title. The issuer should have authority to bind the employer to the renewal terms.

For Employee Details, enter the employee's full name, current job title, department, and staff ID as they appear in the MOHRE employment file. Verify these details before completing the letter.

For Renewal Details, enter the current contract expiry date — check the MOHRE-registered contract for the precise date. Enter the renewal start date (the day after expiry) and the renewal end date. Select the renewal duration from the dropdown. Indicate whether the salary is changing — if changing, enter the new basic salary in AED. Enter any other changes to the employment terms on renewal in the other changes field (for example, a new job title, an additional benefit, or a change in working hours).

Enter the acceptance deadline — this should give the employee at least 14 days to consider the offer, and should be early enough that the employer has time to take alternative action (such as recruiting a replacement) if the employee declines. Enter the letter date.

Once completed, print on company letterhead and have the issuer sign. Present to the employee. If the employee accepts, obtain their signature on the acceptance block. File the signed original in the personnel file. Process the MOHRE contract renewal filing through the MOHRE Tasheel service or MOHRE Smart App. Initiate the work permit and residence visa renewal applications with ICP and GDRFA at least 60 days before the current permit and visa expiry. Update the WPS rate from the renewal start date if the salary has been revised.

Common Mistakes to Avoid in Your Contract Renewal Letter (UAE)

UAE Contract Renewal Letter — Common Mistakes That Create Legal and Immigration Exposure.

1. Issuing the renewal offer too late. The contract renewal letter should be issued at least 60 to 90 days before the current contract expiry, to give the employee time to consider the offer and the employer time to process the MOHRE and immigration renewals. A letter issued one week before expiry leaves no time for compliance.

2. Allowing the work permit or residence visa to lapse before renewal is processed. The work permit and residence visa have the same duration as the contract. Where the contract is renewed but the immigration renewals are not filed promptly, the employee may find themselves in an overstay situation, which carries fines under Federal Decree-Law No. 28 of 2021 and may affect the employee's UAE residency record.

3. Stating that continuous service resets at the renewal. Some employers mistakenly issue renewal letters that imply the gratuity or leave accrual restarts from the renewal date. This is incorrect under Article 51 of Federal Decree-Law No. 33 of 2021 — service is continuous across contract renewals, and gratuity is calculated on total service from the original join date.

4. Failing to update the MOHRE file. The renewed contract must be registered with MOHRE. A signed contract renewal letter alone does not update the MOHRE record. Failure to file the renewal with MOHRE means the employee's official employment status may show as expired, which can affect visa renewals and professional licence applications.

5. Not giving the employee a reasonable acceptance deadline. An unreasonably short deadline (for example, 24 hours) may be challenged by the employee as coercive, and MOHRE may view it as an attempt to force the employee to accept terms or resign. A reasonable acceptance deadline is typically 14 to 21 days.

6. Omitting the 'other changes' statement. Where the renewal is offered on different terms — even minor changes — these must be explicitly stated in the letter. Changes that are not disclosed in the renewal letter may later be disputed as unilateral variations by the employer.
