What Is a External Company Registration Form (Ghana)?

An External Company Registration Form in Ghana captures the information a regulator requires to assess and process the request it covers.

Failure to register as an external company under Part 11 of the Companies Act 2019 (Act 992) does not invalidate contracts entered into by the unregistered foreign company in Ghana, but it exposes the company and every officer responsible for the default to civil penalties imposed by the Registrar of Companies. An unregistered external company also cannot maintain legal proceedings in any court in Ghana until it has been registered. The ORC is the body responsible for receiving, processing, and maintaining the register of external companies in Ghana under the Companies Act 2019.

An External Company Registration Form must be distinguished from a local company incorporation under Part 1 of the Companies Act 2019 (Act 992), which creates a new Ghanaian legal entity. An external company registration allows the foreign parent to operate directly in Ghana through a branch, without creating a separate Ghanaian subsidiary. The choice between a branch registration and a subsidiary incorporation has significant tax implications under the Income Tax Act, 2015 (Act 896) administered by the Ghana Revenue Authority (GRA): a branch is generally taxed on Ghana-source income at the applicable corporate income tax rate of 25%, with an additional 10% branch profit remittance tax under the Income Tax Act, 2015 (Act 896), whereas a Ghanaian subsidiary is taxed only on its own profits.

The Ghana Investment Promotion Centre (GIPC) Act, 2013 (Act 865) requires foreign investors carrying on business in Ghana through an external company to register with the Ghana Investment Promotion Centre (GIPC) and to comply with minimum capital investment requirements: USD 500,000 for a wholly foreign-owned enterprise, or USD 250,000 for a joint venture with a Ghanaian partner holding at least 10% equity. Certain business activities are reserved for Ghanaians under Section 27 of the GIPC Act 2013 and cannot be carried on by a foreign company at all.

The Free Zones Authority (FZA) established under the Free Zones Act, 1995 (Act 504) offers a separate licensing regime for export-oriented enterprises operating in Ghana's designated free zone enclaves, including the Tema Export Processing Zone. External companies operating in free zones register with the FZA rather than the ORC.

The legal framework governing the External Company Registration Form (Ghana) in Ghana draws on several key statutes and regulatory bodies. Under the Companies Act 2019 (Act 992), the Registrar General's Department (RGD) maintains the register of Ghanaian companies. Section 7 of the Companies Act 2019 governs company incorporation. The Ghana Revenue Authority (GRA) administers corporate tax under the Income Tax Act 2015 (Act 896). The Commercial Division of the High Court in Accra adjudicates business disputes. The Ghana Investment Promotion Centre (GIPC) regulates foreign investment under the GIPC Act 2013 (Act 865). Parties executing a External Company Registration Form (Ghana) in Ghana should confirm the document reflects current law, including any amendments enacted since the original drafting date. The Companies Act 2019 (Act 992) sets the foundational requirements.

When Do You Need a External Company Registration Form (Ghana)?

An External Company Registration Form in Ghana is required whenever a foreign company meets the definition of an external company under Section 275 of the Companies Act 2019 (Act 992) and in the following specific situations.

An External Company Registration Form is required when a foreign company opens a branch office, representative office, liaison office, or any other permanent establishment in Ghana — including renting office space in Accra, Kumasi, or Takoradi, appointing permanent local staff, or opening a bank account with a Bank of Ghana-licensed institution. The ORC requires registration within 28 days of establishing the place of business in Ghana.

An External Company Registration Form is needed when a foreign company wins a government procurement contract under the Public Procurement Act, 2003 (Act 663) or a public-private partnership agreement in Ghana, where the contracting authority (a government ministry, state-owned enterprise, or MMDA) requires proof of ORC registration as a condition of contract execution.

An External Company Registration Form is required when a foreign company in the extractive industries — oil and gas regulated by the Petroleum Commission under the Petroleum (Exploration and Production) Act, 2016 (Act 919), or mining regulated by the Minerals Commission under the Minerals and Mining Act, 2006 (Act 703) — applies for an operational licence in Ghana. Both commissions require evidence of ORC external company registration.

An External Company Registration Form is needed when a foreign bank, insurance company, or financial services firm regulated by the Bank of Ghana (BoG) or the National Insurance Commission (NIC) wishes to establish a representative office or a licensed operation in Ghana, in addition to the sector-specific licensing requirements imposed by the relevant regulator.

An External Company Registration Form is required when a foreign NGO, foundation, or development organisation wishes to operate in Ghana beyond the scope of an NGO registration, because its activities constitute carrying on business for profit within the meaning of the Companies Act 2019 (Act 992).

Parties in Ghana should prepare a External Company Registration Form (Ghana) proactively rather than waiting for a dispute to arise. Courts interpret agreements based on the written terms rather than oral representations. Where the transaction involves regulated activities, prior approval from the relevant authority may be required before execution.
